2. Subscription Plans & Pricing

RemindlyHQ operates on a transparent, multi-tier pricing model designed to scale with your needs. By subscribing to a plan, you agree to the specific limits and features associated with that tier:

2.1. The Starter Plan (Free Forever)

• Cost: $0.00 / month.
• No Credit Card Required: You will never be asked for payment details to use or maintain a Starter account.
• Limits: Includes unlimited reminders on web dashboard, 30 AI chats per month, 1 workspace, 1 team member, 10 WhatsApp notifications per month, 50 Email notifications per month, and 5MB total file attachments.

2.2. The Pro Plan

• Cost: $4.99 / month (or $47.88 / year).
• Limits: Includes unlimited reminders, unlimited email notifications, up to 3 workspaces, up to 5 team members, 100 WhatsApp notifications per month, and 500MB file storage.

2.3. The Business Plan

• Cost: $14.99 / month (or $143.88 / year).
• Limits: Includes up to 5 workspaces, up to 50 team members, unlimited reminders, unlimited email notifications, 500 WhatsApp notifications per month, 5GB file storage, priority 24/7 support, and advanced analytics & logs.

* Prices and limits are subject to change. Active subscribers will be notified at least 30 days prior to any changes affecting their current billing cycle.

3. WhatsApp and Multi-Channel Notifications

RemindlyHQ relies on highly reliable cloud delivery networks to process WhatsApp notifications and email delivery.

• Delivery Guarantee: While we maintain a highly available infrastructure, we cannot guarantee 100% real-time delivery due to potential carrier outages, internet connectivity issues, or device-level blocks.
• Usage Caps: WhatsApp notifications are strictly capped according to your subscription tier to prevent abuse and manage infrastructure costs. If you exceed your monthly WhatsApp limit, notifications will gracefully fall back to Email and In-App alerts until the next billing cycle.
• Anti-Spam Policy: You agree not to use RemindlyHQ to send unsolicited spam, marketing broadcasts, or abusive messages. Violation of this policy will result in immediate account termination.

4. Account Security & Responsibilities

Users and Workspace Owners are responsible for:

• Age Requirement: You must be at least 18 years old to register for a paid subscription.
• Maintaining the confidentiality of their login credentials.
• Managing the permissions and access levels of invited Team Members.
• Ensuring that uploaded documents (visas, passports, contracts) comply with local data protection laws.

5. Data Privacy & Ownership

We do not sell your data. RemindlyHQ is a paid software-as-a-service (SaaS) business, not an advertising company.

Your reminders, team structures, and uploaded documents remain your intellectual property. Our cloud infrastructure uses industry-standard encryption to protect your data at rest and in transit. We only access your data when explicitly requested by you for customer support purposes.

6. Billing, Cancellation, and Refunds

Payments for RemindlyHQ are processed by Paddle.com (Paddle), who acts as the Merchant of Record for all transactions. Paddle is responsible for all billing, invoicing, tax calculation, and collection on behalf of RemindlyHQ. By purchasing a RemindlyHQ subscription, you agree to Paddle's Terms of Service and Privacy Policy available at paddle.com.

• Cancellation: You may cancel your Pro or Business subscription at any time. Upon cancellation, your account will downgrade to the Free Starter plan at the end of your current billing cycle.
• Refunds: We offer a 14-day refund policy on all purchases, no questions asked. To request a refund, contact us at support@remindlyhq.com within 14 days of purchase.

7. Platform Availability & Maintenance

We strive for 99.9% uptime. However, temporary interruptions may occur due to scheduled maintenance, security updates, or third-party provider outages. We will make reasonable efforts to notify users of scheduled downtime in advance.

8. No Warranty ("AS IS")

The RemindlyHQ service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied.

We do not guarantee that the service will be uninterrupted, completely secure, or entirely error-free. We explicitly disclaim any warranties regarding the exact timing, accuracy, or successful delivery of reminders across any channel (Email, WhatsApp, or In-App).

9. Limitation of Liability

Under no circumstances shall RemindlyHQ, its founders, or affiliates be held liable for any direct, indirect, incidental, consequential, or financial damages resulting from the use or inability to use our services.

This includes, but is not limited to, financial losses due to missed deadlines, expired contracts, penalty fees, lost profits, or business interruptions caused by delayed, failed, or undelivered reminders. You assume full responsibility and risk for relying on our platform.

10. Not For Critical Use

RemindlyHQ is strictly an administrative and business productivity tool. It is fundamentally not designed, intended, or authorized for use in critical situations where failure could lead to death, personal injury, severe physical damage, or legal jeopardy.

You explicitly agree never to use RemindlyHQ for:

• Medical reminders (e.g., medication schedules, doctor appointments).
• Life-critical or emergency response triggers.
• Court dates or critical legal statutes of limitations where failure to appear results in arrest or severe legal penalties.

11. Data Retention and Account Deletion

We comply with modern data privacy standards (including principles aligned with GDPR/CCPA).

• Active Accounts: We retain your reminders, team data, and uploaded documents (visas, passports, etc.) securely as long as your account is active.
• Account Deletion: If you choose to delete your account, we will permanently and irreversibly erase all your personal data, uploaded documents, and reminder history from our active databases within 30 days.
• Backups: Encrypted system backups may retain fragments of data for up to 90 days before being systematically overwritten and destroyed.

12. WhatsApp Billing Cycle Clarification

WhatsApp notification limits are strictly enforced to protect platform infrastructure costs.

• Reset Period: Your allotted WhatsApp limit resets strictly based on your subscription billing cycle (e.g., if you subscribe on the 14th, your limit resets on the 14th of the following month), not at the start of a calendar month.
• Free Tier: Free Starter plan limits reset on a rolling 30-day basis from the date of account creation.

13. Termination of Service

We reserve the right to immediately suspend or terminate accounts that:

• Violate these Terms of Service.
• Attempt unauthorized access to our infrastructure.
• Engage in illegal activities or upload unlawful content.
